เมื่อผิดสัญญาจะซื้อจะขายที่ดิน อีกฝ่ายหนึ่งสามารถเป็นผู้รับโอนสิทธิไถ่ถอนการขายฝากที่ดินได้
คำพิพากษาศาลฎีกาที่ 4729/2543
จำเลยทำสัญญาขายฝากที่ดินไว้แก่ ภ. บิดาโจทก์ ระหว่างที่ยังอยู่ภายในกำหนดเวลาไถ่ถอนตามสัญญาขายฝากจำเลยทำสัญญาจะซื้อจะขายที่ดินดังกล่าวกับโจทก์ ต่อมาจำเลยทำสัญญากับ ภ. ว่าไม่ประสงค์จะไถ่ถอนและขอสละสิทธิไถ่ถอน ดังนี้ ข้อตกลงระหว่างจำเลยกับ ภ. ถือได้ว่า เป็นการขายขาดที่ดินให้แก่ ภ. โดยทำสัญญากันเอง จึงไม่เกิดผลเป็นสัญญาซื้อขายที่ชอบด้วยกฎหมาย จำเลยยังมีสิทธิไถ่ถอนการขายฝากได้ภายในกำหนดเวลาไถ่ถอนตามสัญญาขายฝากอยู่และภายในกำหนดระยะการขายฝาก จำเลยย่อมมีสิทธินำที่ดินไปทำสัญญาจะซื้อจะขายให้แก่โจทก์ได้ ซึ่ง ป.พ.พ. มาตรา 497 ได้กำหนดให้ผู้รับโอนสิทธิมีสิทธิไถ่ทรัพย์สินนั้นได้ด้วย เมื่อจำเลยเป็นฝ่ายผิดสัญญาจะซื้อจะขายที่ดินกับโจทก์ โจทก์ย่อมอยู่ในฐานะผู้รับโอนสิทธิไถ่การขายฝากที่ดินดังกล่าวได้
